Terms of Use

1. Parties
These Terms of Use ("Terms") constitute a legally binding agreement between SaluberMD US Inc., a corporation organized under the laws of the United States ("SaluberMD", "Company", "we", "our", or "us"), and any visitor, subscriber, customer, member, account holder, purchaser, user, participant, or individual accessing the Services ("User", "Member", "you", or "your").
2. Definitions
Services: Any website, portal, application, wellness program, membership, subscription, telehealth service, digital health service, monitoring service, AI-enabled service, educational content, software platform, feature, functionality, product or offering made available by SaluberMD from time to time.
Membership: Any subscription, enrollment, package, plan, wellness program, service tier or offering purchased through SaluberMD.
Healthcare Services: Clinical, telehealth, physician, provider, pharmacy, prescription, monitoring, diagnostic, treatment, counseling or healthcare-related services provided by independent licensed healthcare professionals or healthcare organizations.
3. Eligibility
You represent and warrant that you are at least eighteen (18) years of age, have legal capacity to enter into binding agreements, all information provided by you is accurate and complete, and you will maintain the accuracy of your information. SaluberMD reserves the right to suspend or terminate accounts based on inaccurate, incomplete or misleading information.
4. Membership Purchase
Membership fees provide access to the SaluberMD platform and applicable membership benefits. Membership purchase does not guarantee medical treatment, medical advice, clinical eligibility, telehealth eligibility, doctor consultation, prescription issuance, medication access, insurance reimbursement, or specific healthcare outcomes. All healthcare services remain subject to separate review, approval and eligibility requirements.
5. Account Registration
To access certain Services, you may be required to create an account. You agree to provide accurate information, maintain current information, protect login credentials, and restrict unauthorized access to your account. You are solely responsible for activities occurring under your account. SaluberMD may suspend or terminate accounts for security reasons or violations of these Terms.
6. Membership Activation
Membership shall be considered activated when enrollment is completed, payment is successfully processed, an account is created, and login credentials are issued. Upon activation, membership benefits become available subject to applicable program requirements.
7. Fees and Payment
All fees are stated in U.S. Dollars unless otherwise specified. You authorize SaluberMD and its payment processors to charge all applicable fees. SaluberMD reserves the right to modify pricing, introduce new fees, offer discounts or promotions, and discontinue promotions. Any applicable taxes shall be added where required by law.
8. Refund Policy
Unless otherwise required by applicable law, membership fees are non-refundable once enrollment has been completed, membership has been activated, login credentials have been issued, or access to Services has been granted. Failure to use the Services shall not create a right to a refund. Refund requests may be reviewed on a case-by-case basis at the sole discretion of SaluberMD.
9. Healthcare Services Disclaimer
SaluberMD is a technology and service platform. Enrollment in a Membership does not establish a physician-patient relationship, a provider-patient relationship, or a clinical treatment relationship. Any healthcare services subsequently accessed through the platform may be governed by separate healthcare agreements, telehealth consents, HIPAA notices, provider agreements and healthcare disclosures.
10. Clinical Independence
Healthcare decisions are made solely by licensed healthcare professionals. SaluberMD does not direct, control, influence or interfere with clinical judgment, medical decision-making, prescribing decisions, treatment plans, or healthcare recommendations. All clinical decisions remain the sole responsibility of the applicable healthcare provider.
11. No Guarantee of Outcomes
SaluberMD makes no representations, warranties or guarantees regarding health outcomes, weight loss outcomes, wellness outcomes, medical outcomes, prescription approvals, medication availability, or treatment effectiveness. Individual results may vary significantly.
12. Artificial Intelligence Services
Certain Services may utilize artificial intelligence, machine learning, automated systems, and predictive technologies. AI-generated information is provided for informational and support purposes only. AI systems do not diagnose conditions, do not prescribe medications, do not replace healthcare professionals, and do not constitute medical advice. Users must not rely solely on AI-generated content when making healthcare decisions.
13. Third-Party Services
The Services may interact with healthcare providers, pharmacies, laboratories, payment processors, technology vendors, and partner organizations. SaluberMD is not responsible for services, actions, omissions or performance of independent third parties.
14. Partner Referrals
Certain users may access SaluberMD through gyms, wellness centers, employers, referral partners, and affiliates. Such partners act solely as referral sources unless expressly stated otherwise. Referral partners do not provide healthcare services on behalf of SaluberMD.
15. Acceptable Use
Users shall not violate laws, submit false information, attempt unauthorized access, interfere with system operations, upload malicious software, infringe intellectual property rights, or misuse healthcare services. SaluberMD may suspend or terminate access for violations.
16. Intellectual Property
All intellectual property rights in the Services remain the exclusive property of SaluberMD or its licensors, including software, content, logos, branding, designs, trademarks, AI systems, and documentation. No rights are transferred except as expressly provided.
17. Privacy
Use of the Services is subject to the SaluberMD Privacy Policy. By using the Services, you consent to collection, processing and use of information as described therein.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SALUBERMD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY. SALUBERMD DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALUBERMD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES. IN NO EVENT SHALL SALUBERMD'S AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY THE USER TO SALUBERMD DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.
20. Indemnification
You agree to defend, indemnify and hold harmless SaluberMD, its affiliates, directors, officers, employees, contractors and partners from any claims, losses, liabilities, damages, costs and expenses arising from violation of these Terms, misuse of Services, violation of law, or infringement of rights of others.
21. Termination
SaluberMD may suspend, restrict or terminate access to Services at any time for violation of Terms, security concerns, legal requirements, or operational reasons. Termination shall not affect accrued rights and obligations.
22. Force Majeure
SaluberMD shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, cyberattacks, government actions, utility failures, and internet outages.
23. Dispute Resolution
Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration administered in accordance with applicable arbitration rules. The parties waive the right to trial by jury.
24. Class Action Waiver
To the fullest extent permitted by law, claims may be brought only in an individual capacity. Users waive any right to participate in class actions, representative actions, collective actions, or private attorney general actions.
25. Governing Law
These Terms shall be governed by and construed under the laws of the State of Florida, without regard to conflict of law principles.
26. Severability
If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
27. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements incorporated by reference, constitute the entire agreement between the parties regarding the Services.
28. Modifications
SaluberMD may modify these Terms at any time. Updated Terms shall become effective upon posting unless otherwise stated. Continued use of the Services constitutes acceptance of updated Terms.
